These Terms of Service govern your use of XPND AI, operated by XPND Ventures (ABN 668 686 020). By using XPND AI, you agree to these terms.

1. The Service

XPND AI is a sales qualification and communication tool designed for sports technology sales professionals. It provides AI-generated deal scoring, coaching, email drafting and related features to assist with sales activities.

2. Account Registration

You must create an account to use XPND AI. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when registering.

3. Subscription and Payment

XPND AI is offered on a subscription basis. Fees are charged monthly in advance. You may cancel at any time and will retain access until the end of your current billing period. We do not offer refunds for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

4. Free Trial

New users may access a 7-day free trial. Only one free trial per person or organisation is permitted. We reserve the right to end a free trial at any time if misuse is suspected.

5. Acceptable Use

You agree not to:

• Use XPND AI for any unlawful purpose
• Attempt to reverse engineer, copy or reproduce any part of the service
• Share your account credentials with others
• Use the service to generate misleading, fraudulent or harmful content
• Attempt to circumvent usage limits or subscription requirements
• Use the service in a way that could damage, disable or impair our systems

6. AI-Generated Content

XPND AI generates content using artificial intelligence. This content is provided as a starting point and tool to assist your sales activities — not as professional advice. You are responsible for reviewing, editing and taking accountability for any content you send or act upon. We make no guarantees about the accuracy or suitability of AI-generated content for any specific situation.

7. Your Data

You retain ownership of all data you enter into XPND AI. By using the service, you grant us a limited licence to process your data for the purpose of providing the service. See our Privacy Policy for full details on how we handle your data.

8. Intellectual Property

XPND AI, including its design, features, branding and underlying technology, is owned by XPND Ventures. You may not copy, reproduce or create derivative works from any part of the service without our written permission.

9. Limitation of Liability

To the maximum extent permitted by law, XPND Ventures is not liable for any indirect, incidental, special or consequential damages arising from your use of the service. Our total liability to you for any claim arising from use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account if you breach these terms, with or without notice. You may terminate your account at any time by cancelling your subscription and contacting us.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email or through the app. Continued use of the service after changes are notified constitutes acceptance.

12. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
